Healthcare professionals and researchers must provide valid professional credentials, consent to credential verification, maintain active professional standing, and use the Services only within the scope of their professional competence and legal authority.
4. Licence to Use Services
4.1 Limited Licence Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use our Services for your personal or internal business purposes. This licence does not include rights to copy, modify, reverse engineer, or use the Services to build competing products.
4.2 Licence Restrictions
The licence is conditional upon your continued compliance with these Terms and may be suspended or terminated for violation of these Terms or applicable law.
5. Medical Disclaimer and Limitations
Important Medical Disclaimer
The Services are NOT a substitute for professional medical advice, diagnosis, or treatment. Neural Omega Health, Maia Clinical, and all other Services are clinical decision support tools and health information platforms designed to assist, not replace, the relationship between patients and their healthcare providers.
Always seek the advice of your physician or other qualified healthcare provider with any questions you may have regarding a medical condition. Never disregard professional medical advice because of information received through our Services.
If you think you may have a medical emergency, call emergency services immediately. Neural Omega Services are not designed for emergency situations.
5.1 No Medical Professional-Patient Relationship
Use of our Services does not create a medical professional-patient relationship between you and Neural Omega. Any information provided through our Services is for informational and educational purposes only.
5.2 Clinical Decision Support Tools
Our AI-powered algorithms are designed to assist healthcare professionals. All clinical decisions remain the sole responsibility of qualified healthcare professionals. Our tools should be used in conjunction with, not as a replacement for, clinical expertise and professional guidelines.
5.3 No Warranty of Medical Accuracy
While we strive to provide accurate, evidence-based information, we make no representations regarding the medical accuracy, reliability, completeness, or timeliness of any information provided through our Services.
6. Acceptable Use Policy
6.1 Permitted Uses
You may use our Services only for lawful purposes. Permitted uses include tracking your health information, accessing clinical decision support tools, conducting authorised research, collaborating with your care team, and accessing educational content.
6.2 Prohibited Uses
Illegal or Harmful Activities
- Using the Services for any illegal purpose or in violation of any applicable law
- Engaging in fraud, misrepresentation, or impersonation
- Harassing, threatening, or intimidating other users
- Distributing malware, viruses, or any other harmful code
Unauthorised Access and System Interference
- Attempting to gain unauthorised access to our systems, networks, or databases
- Probing, scanning, or testing the vulnerability of our systems
- Breaching or circumventing authentication or security measures
- Interfering with or disrupting the integrity or performance of the Services
Intellectual Property Violations
- Copying, modifying, or creating derivative works of the Services
- Reverse engineering, decompiling, or disassembling the Services
- Removing, altering, or obscuring any proprietary notices
- Using our trademarks, logos, or branding without prior written authorisation
Data Mining and Unauthorised Collection
- Scraping, harvesting, or extracting data using automated means
- Using data mining, robots, or similar data gathering methods
- Collecting or storing personal data about other users without their express consent
6.3 Enforcement and Consequences
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, removal of content, reporting to law enforcement, and legal action to recover damages.
7. User Content and Data Rights
7.1 Your Ownership of Content
You retain all ownership rights to any content, data, or information you submit through our Services, including health data, research data, files, documents, and communications.
7.2 Licence Grant to Neural Omega
By submitting User Content, you grant Neural Omega a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, and process your User Content as necessary to provide the Services, and to use anonymised, aggregated data derived from User Content for research and service improvement. This licence terminates when you delete User Content or close your account, except for anonymised data that can no longer identify you.
7.3 Health Data — Special Provisions
Health Data is processed only with your explicit consent (which you may withdraw at any time), as necessary to provide the Services, in accordance with our Privacy Policy, and using appropriate security measures. You have the right to access, correct, delete, or receive a portable copy of your Health Data.
7.4 Representations and Warranties
By submitting User Content, you represent and warrant that you own or have the necessary rights to submit it, that it does not infringe any third-party rights, that it is accurate and not misleading, and that it complies with these Terms and all applicable laws.
8. Intellectual Property Rights
8.1 Neural Omega's Intellectual Property
All rights, title, and interest in and to the Services remain the exclusive property of Neural Omega and its licensors. This includes software and algorithms, patents and trade secrets, copyrights, trademarks, databases, and research findings.
8.2 Restrictions on Use
Nothing in these Terms grants you any right in Neural Omega's intellectual property. You may not use our trademarks without written permission, copy our proprietary algorithms, reverse engineer our Services, or use our intellectual property to develop competing products.
8.3 Feedback and Suggestions
If you provide feedback or suggestions about our Services, you grant Neural Omega a perpetual, irrevocable, royalty-free licence to use, modify, and incorporate such feedback into our Services without any obligation to compensate you.
9. Research and Data Use for Scientific Purposes
9.1 Permitted Research Uses
Neural Omega may use anonymised, pseudonymised, or aggregated data for scientific research into autoimmune diseases, developing and improving AI/ML algorithms, identifying biomarkers and therapeutic targets, publishing research findings, and improving the Services.
9.2 Data Anonymisation and Protection
All research uses are subject to strict safeguards: data is anonymised wherever possible; identifiable data is used only with explicit informed consent; research protocols undergo ethics committee review where required; and research partners are bound by Data Processing Agreements.
9.3 Your Rights Regarding Research Use
You may opt out of having your anonymised data used for research purposes, withdraw consent for identifiable data use at any time, request information about specific research projects, and object to specific types of research uses.
10. Fees, Payment, and Subscriptions
10.1 Pricing and Billing
Certain features require payment of subscription fees. All fees are stated in Euros (EUR) and charged in advance on a recurring basis. Payment is due immediately upon subscription activation or renewal.
10.2 Taxes
All fees are exclusive of applicable taxes, including VAT. You are responsible for paying all such taxes except for taxes based on Neural Omega's income.
10.3 Subscription Renewal and Cancellation
Subscriptions automatically renew unless you cancel before the renewal date. Upon cancellation, you will retain access to paid features until the end of your current billing period. No refunds are provided for partial billing periods.
10.4 Refunds
All fees are non-refundable except as expressly stated in these Terms, as required by applicable consumer protection laws, or in cases of billing errors.
11. Third-Party Services, Links, and Integrations
Our Services may contain links to or integrate with third-party websites, services, and resources, including wearable device APIs, EHR systems, healthcare provider portals, payment processors, and research tools. These are provided for your convenience only. We do not control, endorse, or assume responsibility for third-party services and are not liable for any damages arising from their use. Your use of third-party services is governed by their respective terms and privacy policies.
12. Term, Suspension, and Termination
12.1 Term
These Terms commence when you first access or use the Services and remain in effect until terminated by either you or Neural Omega.
12.2 Termination by You
You may terminate your account at any time by deleting it through your account settings or by sending a request to legal@neuralomega.com.
12.3 Suspension or Termination by Neural Omega
We may suspend or terminate your access immediately if you violate these Terms, engage in fraudulent or illegal activity, your account poses a security risk, we are required to do so by law, or your professional credentials cannot be verified. We may also terminate for convenience with 30 days' written notice.
12.4 Effect of Termination
Upon termination, all licences cease, you must immediately stop using the Services, and we may delete your User Content per our data retention policies. You remain responsible for all fees incurred prior to termination.
13. Warranties and Disclaimers
Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEURAL OMEGA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND WARRANTIES REGARDING ACCURACY, RELIABILITY, UNINTERRUPTED OPERATION, OR MEDICAL ACCURACY.
13.1 No Medical Warranty
We make no warranty that the Services will diagnose, cure, treat, or prevent any disease or medical condition, or that information provided is current, complete, or medically accurate.
14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEURAL OMEGA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICES, OR DAMAGES RELATED TO MEDICAL DECISIONS, DIAGNOSES, OR TREATMENT OUTCOMES. THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED.
14.1 Aggregate Liability Cap
Maximum Aggregate Liability
NEURAL OMEGA'S TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO NEURAL OMEGA IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED EUROS (€100).
15. Indemnification
You agree to indemnify, defend, and hold harmless Neural Omega, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses arising from: your use or misuse of the Services, your violation of these Terms or any applicable law, your violation of any third-party rights, any User Content you submit, or your negligence, willful misconduct, or fraud.
16. Dispute Resolution, Governing Law, and Jurisdiction
16.1 Governing Law
These Terms shall be governed by the laws of Spain, without giving effect to any conflict of law principles.
16.2 Jurisdiction and Venue
Any disputes shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain. If you are a consumer resident in the European Union, you may also bring proceedings in the courts of your country of residence.
16.3 Informal Dispute Resolution
Before initiating formal legal proceedings, you agree to first contact us to attempt to resolve the dispute informally. Please send a written notice to legal@neuralomega.com. We will attempt to resolve the dispute within 60 days.
16.4 EU Online Dispute Resolution
If you are a consumer in the European Union, you may also submit complaints via the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy and any additional terms, constitute the entire agreement between you and Neural Omega regarding the Services.
17.2 Severability
If any provision of these Terms is held invalid or unenforceable, it shall be modified to the minimum extent necessary. If such modification is not possible, the provision shall be severed, and the remaining provisions shall remain in full force.
17.3 Assignment
You may not assign these Terms or your rights without our prior written consent. We may freely assign these Terms, including in connection with a merger, acquisition, or sale of assets.
17.4 Force Majeure
Neural Omega shall not be liable for any failure or delay due to circumstances beyond its reasonable control, including acts of God, war, pandemics, government actions, telecommunications failures, or natural disasters.

We may provide notices via email to your registered address, through in-app notifications, or by posting on our website. You must provide notices to us via email to legal@neuralomega.com or by post to our registered address.
